Welcome to Brightney.
These Terms of Service ("Terms") govern your access to and use of Brightney's websites, applications, software, artificial intelligence features, APIs, integrations, workflows, agents, and related products and services (collectively, the "Services").
By accessing or using the Services, creating an account, connecting a third-party service, or otherwise using Brightney, you agree to these Terms.
If you use Brightney on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf. In that case, "you" and "your" refer to that organization.
If you do not agree to these Terms, you should not use the Services.
1. About Brightney
Brightney provides an AI-powered workspace and business context platform designed to help organizations connect, understand, search, and act on information across their business.
Brightney may allow users to:
- connect business applications, tools, and data sources;
- access and search organizational knowledge;
- interact with information using artificial intelligence;
- retrieve and summarize documents, communications, meetings, and other content;
- understand relationships between information, people, applications, and workflows;
- create workflows and automations;
- use AI agents to assist with or perform authorized tasks;
- generate content, recommendations, insights, or other outputs;
- perform authorized actions across connected applications; and
- use other productivity, collaboration, knowledge-management, automation, and AI capabilities.
Brightney may introduce, modify, or discontinue features as the Services evolve.
2. Accounts and Eligibility
You must have the legal capacity to enter into these Terms.
When creating an account, you agree to provide accurate and current information and to keep your account credentials secure.
You are responsible for activities performed through your account.
If you believe your account has been accessed without authorization, you should notify us promptly at hello@brightney.ai.
Organizations may designate administrators who can manage users, permissions, integrations, data sources, workflows, and other workspace settings.
If your account belongs to an organization, your organization's administrators may have the ability to manage your access and information associated with the organization's Brightney workspace.
3. Connected Applications and Third-Party Services
Brightney may allow you to connect applications, platforms, APIs, databases, infrastructure, and other third-party services ("Third-Party Services").
These may include, without limitation:
- email and communication platforms;
- calendars and scheduling services;
- meeting and video-conferencing platforms;
- cloud storage and document-management services;
- collaboration and productivity tools;
- CRM and sales platforms;
- project-management systems;
- databases and data warehouses;
- customer-support platforms;
- developer and infrastructure tools;
- enterprise software; and
- other applications made available through Brightney.
When you connect a Third-Party Service, you authorize Brightney to access and process information from that service according to the permissions you grant and the functionality you choose to use.
Depending on the integration, Brightney may retrieve, search, process, analyze, index, summarize, create, update, transmit, or otherwise interact with information in the connected service.
Brightney will seek to access only the permissions reasonably required to provide the requested functionality.
You may disconnect supported integrations at any time through Brightney or through the relevant third-party provider where such controls are available.
Your use of Third-Party Services may also be governed by their respective terms, privacy policies, and other agreements.
Brightney does not control and is not responsible for the availability, functionality, security, accuracy, or practices of Third-Party Services.
4. Authorization and Permissions
By connecting a Third-Party Service, data source, account, or system to Brightney, you represent that you have the necessary rights and permissions to allow Brightney to access and process the relevant information.
You authorize Brightney to perform operations necessary to provide the functionality you enable.
Depending on your configuration and permissions, these operations may include:
- retrieving information;
- searching files or records;
- reading communications;
- analyzing documents;
- creating or updating records;
- generating summaries;
- scheduling events;
- sending communications;
- creating documents;
- executing workflows; or
- performing other actions requested or configured by you.
You are responsible for ensuring that your use of connected systems and information complies with applicable laws, agreements, policies, and organizational requirements.
5. Customer Data
You retain ownership of the information, files, communications, records, documents, prompts, content, and other data you or your organization provide to Brightney or make available through connected services ("Customer Data").
These Terms do not transfer ownership of Customer Data to Brightney.
You grant Brightney a limited right to access, host, transmit, retrieve, index, process, analyze, and otherwise use Customer Data as reasonably necessary to:
- provide and operate the Services;
- perform functionality requested by you;
- maintain and secure the Services;
- detect and prevent abuse, fraud, and security incidents;
- troubleshoot technical problems;
- provide customer support;
- comply with applicable legal obligations; and
- fulfill other purposes described in our Privacy Policy.
6. AI Features
Brightney may use artificial intelligence, machine learning, retrieval systems, language models, embeddings, knowledge graphs, and related technologies to provide features within the Services.
Customer Data may be processed to provide functions including:
- enterprise search;
- contextual retrieval;
- question answering;
- summarization;
- information extraction;
- classification;
- recommendations;
- knowledge discovery;
- content generation;
- workflow automation;
- agentic actions; and
- other AI-powered functionality.
Model Training
Brightney does not use Customer Data to train generalized AI models for the benefit of other customers without authorization.
Brightney may use third-party AI model providers, cloud infrastructure providers, and other subprocessors where necessary to deliver the Services.
Where Customer Data must be transmitted to such providers, it will be transmitted for purposes related to providing the Services and handled in accordance with applicable contractual, privacy, and security requirements.

7. AI-Generated Output
Brightney may generate responses, summaries, recommendations, classifications, analyses, extracted information, generated content, or other results ("Output").
Artificial intelligence is probabilistic, and Output may sometimes be inaccurate, incomplete, misleading, or outdated.
You are responsible for reviewing Output before relying on it, sharing it, or using it to perform significant actions.
Brightney does not guarantee the accuracy, completeness, or suitability of AI-generated Output.
You should exercise appropriate human review when using Brightney for important business decisions.
Brightney is not intended to replace qualified professional advice, including legal, financial, medical, accounting, regulatory, or compliance advice.
8. AI Agents, Workflows, and Automated Actions
Brightney may allow users to create or configure workflows, automations, or AI agents capable of performing actions.
Depending on the permissions you provide, these actions may include interacting with connected applications, retrieving information, creating records, updating data, generating documents, scheduling events, sending communications, or performing other business processes.
You remain responsible for:
- determining which systems Brightney may access;
- configuring appropriate permissions;
- determining what actions Brightney may perform;
- reviewing important actions where appropriate;
- ensuring that automated actions comply with your organization's policies; and
- ensuring that you have authority to perform those actions.
You acknowledge that automated actions may create changes within connected systems.
Where appropriate, Brightney may provide permission controls, confirmation mechanisms, activity records, or other safeguards.
9. Privacy and Data Protection
Our collection, use, processing, storage, and disclosure of personal information is described in our Privacy Policy.
When you connect external applications or data sources, Brightney may process information from those systems according to the permissions you grant and functionality you request.
Where required, organizations using Brightney are responsible for obtaining appropriate permissions, notices, or consents from their employees, customers, users, or other individuals whose information may be processed through Brightney.
10. Security
Brightney uses reasonable administrative, organizational, and technical measures designed to protect information processed through the Services.
However, no online system or method of data transmission can guarantee absolute security.
You are responsible for maintaining appropriate security practices for your accounts, devices, credentials, connected systems, and users.
You should promptly notify us at hello@brightney.ai if you become aware of unauthorized access or a potential security issue involving your Brightney account.
11. Acceptable Use
You may not use Brightney to:
- violate applicable laws or regulations;
- violate intellectual property, privacy, confidentiality, or other rights;
- access accounts, systems, or information without authorization;
- introduce viruses, malware, or other malicious software;
- interfere with or disrupt Brightney or other systems;
- bypass access controls or security measures;
- engage in fraudulent, deceptive, abusive, or malicious activity;
- attempt unauthorized reverse engineering of the Services;
- probe or test vulnerabilities without authorization;
- use the Services to facilitate unlawful activity; or
- use Brightney in a manner that creates unreasonable security, operational, or legal risks.
We may restrict or suspend use of the Services where reasonably necessary to prevent abuse, protect users or systems, or comply with applicable law.
12. Your Responsibilities
You are responsible for your use of Brightney and for activities performed through your account.
You are also responsible for ensuring that:
- you have permission to provide Customer Data to Brightney;
- you have permission to connect external accounts and systems;
- your use of Brightney complies with applicable laws;
- users within your organization use Brightney appropriately; and
- important AI-generated information or automated actions receive appropriate review.
13. Subscription Plans, Usage, and Payments
Brightney may offer free, trial, paid, business, and enterprise plans.
Features, usage allowances, storage, AI usage, integrations, user limits, and other capabilities may vary by plan.
Paid subscriptions may be billed on a recurring basis according to the pricing and billing terms presented when you subscribe.
Unless otherwise specified, subscriptions may automatically renew until cancelled.
You are responsible for applicable taxes and fees associated with your subscription.
Certain enterprise customers may enter into separate order forms, service agreements, data-processing agreements, or other commercial agreements with Brightney.
If a separately executed agreement conflicts with these Terms, the separately executed agreement will control regarding that conflict.
14. Intellectual Property
Brightney and its licensors retain all rights, title, and interest in the Services, including our software, platform, APIs, technology, designs, interfaces, trademarks, documentation, models, systems, and related intellectual property.
These Terms do not transfer ownership of Brightney's intellectual property to you.
You retain your rights to Customer Data.
Subject to applicable law and third-party rights, you may use Output generated for you through the Services.
15. Feedback
If you provide Brightney with suggestions, ideas, feedback, or recommendations, you allow us to use that feedback to develop and improve Brightney without restriction or compensation to you.
Providing feedback does not give Brightney ownership of your Customer Data.
16. Third-Party Technology and Providers
Brightney may rely on third-party technology and service providers to operate parts of the Services.
These providers may include cloud infrastructure, AI models, databases, communications infrastructure, analytics, authentication, integration infrastructure, and other technology providers.
Some functionality may therefore depend on services outside Brightney's direct control.
Third-party providers may change, restrict, suspend, or discontinue their products, APIs, or functionality.
Brightney may modify or replace underlying providers or technologies as necessary to maintain or improve the Services.
17. Service Availability
We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.
Brightney may occasionally be unavailable because of maintenance, infrastructure problems, third-party outages, security incidents, updates, or circumstances outside our reasonable control.
We may modify, improve, replace, or discontinue portions of the Services over time.
Where commercially reasonable, we may notify customers of material changes that significantly affect paid Services.
18. Beta, Preview, and Experimental Features
Brightney may make beta, preview, experimental, or early-access functionality available.
These features may be incomplete, change substantially, contain errors, or be discontinued.
Unless otherwise agreed in writing, experimental functionality is provided "as is" and may not be subject to the same availability or support commitments as generally available Services.
19. Suspension and Termination
You may stop using Brightney at any time.
Where available, you may cancel your subscription, disconnect integrations, or close your account.
Brightney may suspend or terminate access where reasonably necessary if:
- you materially violate these Terms;
- required fees remain unpaid;
- your use creates a significant security risk;
- your use violates applicable law;
- your account is being used fraudulently or abusively; or
- suspension is required to protect Brightney, its customers, or third parties.
Where reasonably possible, we will provide notice before terminating a paid account.
20. Data Following Termination
After termination or expiration of your account, your ability to access Customer Data through Brightney may end.
Subject to contractual obligations, applicable laws, technical limitations, security requirements, and backup retention periods, Brightney may delete Customer Data following account termination.
Customers should export information they wish to retain before terminating their accounts where export functionality is available.
Additional retention and deletion information may be provided in our Privacy Policy or applicable enterprise agreements.
21. Disclaimers
To the maximum extent permitted by applicable law, Brightney and the Services are provided on an "as is" and "as available" basis.
Brightney does not guarantee that:
- the Services will always be available;
- all errors will be corrected;
- AI-generated Output will always be accurate;
- information obtained from connected services will always be complete or current; or
- Third-Party Services will remain available.
You are responsible for determining whether Brightney is appropriate for your intended use.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Brightney and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to your use of the Services.
To the maximum extent permitted by applicable law, Brightney's aggregate liability arising from or relating to the Services will not exceed the amount paid by you to Brightney for the Services during the twelve months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
23. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Brightney harmless from claims, damages, liabilities, losses, and reasonable expenses arising from:
- your unlawful use of the Services;
- your material violation of these Terms;
- your infringement of third-party rights; or
- Customer Data or actions you provide, authorize, or perform through the Services.
Additional indemnification terms may apply to enterprise customers under separate agreements.
24. Changes to the Services
Brightney is continuously evolving.
We may introduce new features, integrations, AI models, workflows, agents, APIs, or other capabilities.
We may also modify or discontinue existing functionality.
Your use of new functionality may be subject to additional terms where appropriate.
25. Changes to These Terms
We may update these Terms as Brightney, applicable laws, technologies, and our Services evolve.
When we make material changes, we may provide notice through the Services, our website, email, or another reasonable method.
The date at the top of these Terms indicates when they were last updated.
Your continued use of Brightney after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.
26. Governing Law and Disputes
These Terms will be governed by the laws applicable to the Brightney legal entity providing the Services to you, unless otherwise specified in an applicable order form or separate agreement.
Any disputes relating to these Terms or the Services will be handled by the courts or dispute-resolution mechanism applicable to the relevant Brightney contracting entity, subject to any mandatory rights available under applicable law.
27. General
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign your rights under these Terms without Brightney's prior written consent, except where applicable law provides otherwise.
Brightney may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of substantially all relevant assets.
These Terms, together with our Privacy Policy and any applicable order forms or additional agreements, constitute the agreement between you and Brightney concerning your use of the Services.
