AI Product Terms

These AI Product Terms ("AI Terms") apply to your use of artificial intelligence features provided through Brightney.

These AI Terms supplement the Brightney Terms of Service and Privacy Policy.

If there is a conflict between these AI Terms and the Terms of Service regarding the use of Brightney's AI features, these AI Terms will apply to the extent of that conflict.

By using Brightney's AI features, you agree to these AI Terms.

1. Brightney AI Features

Brightney may provide artificial intelligence and related functionality, including:

  • AI-powered enterprise search;
  • question answering;
  • contextual retrieval;
  • document and communication summarization;
  • information extraction;
  • recommendations and insights;
  • content generation;
  • knowledge discovery;
  • workflow automation;
  • AI assistants;
  • AI agents;
  • automated actions;
  • classification and analysis;
  • meeting intelligence; and
  • other AI-powered functionality.

Brightney may use technologies such as large language models, machine-learning models, retrieval systems, embeddings, knowledge graphs, search technologies, and other artificial intelligence systems.

Features and underlying technologies may change over time.

2. Inputs

You may provide information to Brightney's AI features, including prompts, instructions, documents, files, communications, connected-service information, workflow configurations, and other content ("Input").

You retain any rights you have in your Input.

You are responsible for ensuring that you have the necessary rights, permissions, and authority to provide Input to Brightney.

You should not provide information through Brightney if you are not authorized to use or process that information.

Input provided through an organization's Brightney workspace may be subject to that organization's policies, permissions, and administrative controls.

3. Customer Data and AI Processing

Brightney is designed to use the business information and context made available by you or your organization.

Depending on the functionality enabled, Brightney may retrieve relevant information from connected documents, communications, meetings, applications, databases, knowledge sources, and other authorized systems in order to generate responses or perform requested actions.

Customer Data may be processed for purposes including:

  • retrieving relevant business context;
  • answering questions based on connected information;
  • generating summaries;
  • extracting information;
  • identifying relationships between information;
  • creating recommendations or insights;
  • generating content;
  • supporting knowledge discovery;
  • executing workflows;
  • performing authorized AI-agent actions; and
  • providing other requested AI functionality.

The quality, completeness, and relevance of Brightney's results may depend on the quality, completeness, availability, permissions, and accuracy of the Customer Data and Connected Services available to Brightney.

Brightney does not use Customer Data to train generalized AI models.

4. AI Outputs

Brightney may generate responses, summaries, recommendations, analyses, classifications, generated documents, extracted information, or other content ("Output").

Where a Brightney feature uses your connected business information, Output may be generated using information retrieved from your organization's authorized documents, applications, communications, meetings, databases, and other connected sources.

Brightney is intended to provide responses based on the business context available to the Services.

However, artificial intelligence remains probabilistic. Output may sometimes:

  • be inaccurate;
  • be incomplete;
  • misinterpret information;
  • omit relevant context;
  • reflect incomplete or outdated Customer Data;
  • rely on information that is unavailable because of access permissions;
  • produce unexpected results; or
  • present information incorrectly.

The accuracy and usefulness of Output may therefore depend in part on the information your organization has connected to Brightney.

You should review important Output before relying on it, sharing it, or using it to perform significant business actions.

Brightney does not guarantee that Output will always be accurate, complete, current, unique, or suitable for a particular purpose.

5. Connected Data and Source Context

Brightney may use information from multiple connected sources to generate contextual responses.

For example, a response may be based on information retrieved from:

  • company documents;
  • cloud storage;
  • emails and communications;
  • calendars;
  • meeting information;
  • meeting transcripts where enabled;
  • CRM records;
  • project-management tools;
  • internal knowledge bases;
  • databases;
  • business applications; or
  • other sources authorized by you or your organization.

Brightney's ability to retrieve or use information is subject to the permissions granted to the Services.

If information is missing, outdated, inaccessible, incorrectly configured, or unavailable from a Connected Service, Brightney's Output may also be incomplete or inaccurate.

Brightney does not independently verify the accuracy of Customer Data supplied by you, your organization, or Connected Services.

6. Similar or Non-Unique Outputs

AI systems may generate similar or identical Output for different users.

Output generated for you may therefore be similar to content generated for another user, particularly where similar requests are made.

Brightney does not guarantee that AI-generated Output will be unique.

Your rights in Output do not extend to content independently generated for other users.

7. Ownership of Input and Output

As between you and Brightney, you retain your rights in Input.

Subject to applicable law, third-party rights, and the Brightney Terms of Service, you may use Output generated for you through Brightney.

Brightney does not claim ownership of your Customer Data merely because it is processed through AI features.

You are responsible for ensuring that your use of Output complies with applicable law and does not infringe the rights of others.

AI-generated content may not always qualify for intellectual-property protection under applicable law.

8. AI Agents and Automated Actions

Brightney may provide AI agents, workflows, or automation features capable of performing actions within Brightney or connected systems.

Depending on the permissions and configuration you provide, these actions may include:

  • retrieving information;
  • creating or editing documents;
  • updating records;
  • creating tasks;
  • scheduling events;
  • generating communications;
  • sending authorized communications;
  • interacting with business applications;
  • executing workflows; or
  • performing other authorized business actions.

You control which systems, permissions, and capabilities are made available to these features.

You are responsible for configuring AI agents and workflows appropriately.

You should apply appropriate human review to actions that may have material business, financial, legal, security, privacy, contractual, customer, or operational consequences.

You acknowledge that automated actions may modify information or perform actions in connected systems.

Brightney may provide safeguards such as approvals, confirmation steps, permission controls, activity records, or other mechanisms, but you remain responsible for determining whether an automated action is appropriate for your use case.

9. Human Review

Brightney is designed to help users understand and act on information available across their organization's connected knowledge, applications, documents, communications, meetings, and other authorized data sources.

Brightney's Output may depend on the information available to it. If Customer Data is incomplete, outdated, inaccurate, unavailable, or restricted by permissions, the resulting Output may also be incomplete or inaccurate.

Users should review and verify important Output against the relevant source information before making significant decisions or taking consequential actions.

Appropriate human review is particularly important when using Brightney to:

  • make or support significant business decisions;
  • analyze financial or operational information;
  • make employment or people-related decisions;
  • prepare important customer or external communications;
  • interpret contractual, compliance, or regulatory information;
  • update important business records;
  • execute workflows that affect customers, employees, finances, or business operations; or
  • allow AI agents to perform actions across connected systems.

Brightney is intended to assist users with their work and business context.

Users and organizations remain responsible for decisions made, information communicated, and actions performed using Brightney.

10. Third-Party AI Providers

Brightney may use third-party AI models, infrastructure providers, or other technology providers to deliver AI functionality.

These providers may process limited Customer Data, Inputs, or contextual information where necessary to provide the requested functionality.

Brightney seeks to use appropriate commercial, enterprise, contractual, privacy, and security arrangements with providers that process Customer Data.

Brightney may change or replace underlying models or providers as our technology evolves.

Different features may use different AI models or providers.

Brightney does not guarantee that a particular AI provider or model will remain available indefinitely.

11. Connected Services

Brightney's AI features may use information retrieved from applications and data sources that you connect to Brightney.

AI functionality will only access Connected Services according to the permissions available to Brightney and the functionality you enable.

You are responsible for ensuring that:

  • you have authority to connect the relevant service;
  • you have permission to process the information contained in that service;
  • your use of the information complies with applicable laws and agreements; and
  • appropriate permissions are configured within your organization.

Information from Connected Services remains subject to the Brightney Privacy Policy and any terms imposed by the relevant third-party provider.

12. Prohibited Uses

You may not use Brightney's AI features to:

  • violate applicable law or regulation;
  • access information or systems without authorization;
  • infringe intellectual-property, privacy, confidentiality, or other rights;
  • generate or distribute malware or malicious code;
  • facilitate fraud, phishing, deception, or impersonation;
  • bypass security safeguards;
  • exploit vulnerabilities without authorization;
  • interfere with or disrupt systems or services;
  • automate unlawful activity;
  • misrepresent AI-generated content in a manner that is fraudulent or deceptive;
  • perform automated actions on systems you are not authorized to access;
  • intentionally expose confidential or restricted information to unauthorized parties; or
  • use the Services in a manner that creates unreasonable security, legal, or operational risk.

Brightney may restrict or suspend access to AI functionality where reasonably necessary to prevent abuse or protect Brightney, our customers, users, or third parties.

13. Usage Limits

Brightney may impose limits on AI functionality.

Limits may vary based on:

  • subscription plan;
  • number of users;
  • token consumption;
  • model usage;
  • storage;
  • workflow usage;
  • API usage;
  • integration usage;
  • computational resources; or
  • other technical or commercial considerations.

Brightney may modify usage limits as necessary to maintain performance, security, availability, or fair access to the Services.

Applicable limits may be displayed within the Services, pricing information, order forms, or other product documentation.

14. Model and Feature Availability

AI technology evolves rapidly.

Brightney may add, modify, replace, or discontinue:

  • AI models;
  • model providers;
  • retrieval technologies;
  • AI agents;
  • workflow capabilities;
  • integrations;
  • AI features; or
  • underlying infrastructure.

We may make such changes to improve performance, reliability, security, cost efficiency, or functionality.

We do not guarantee continued availability of any particular model, feature, provider, or technology.

15. Beta and Experimental AI Features

Certain AI capabilities may be offered as beta, preview, early-access, or experimental features.

These features may:

  • contain errors;
  • behave unpredictably;
  • change significantly;
  • have limited availability;
  • produce less reliable Output; or
  • be discontinued.

Unless otherwise agreed in writing, experimental features are provided on an "as is" and "as available" basis.

You should use additional caution when relying on experimental AI functionality.

16. Security and Confidential Information

You should use Brightney's permission and access controls appropriately when working with confidential or sensitive business information.

You are responsible for determining which users, workflows, agents, and integrations should be permitted to access particular information.

Brightney may implement safeguards designed to prevent unauthorized access, but no AI or online system can guarantee absolute security.

If you believe an AI feature has caused or exposed a security issue, please contact us promptly at hello@brightney.ai.

17. No Warranty Regarding AI Output

To the maximum extent permitted by applicable law, Brightney AI features and Output are provided on an "as is" and "as available" basis.

Brightney does not warrant that:

  • Output will always accurately reflect Customer Data;
  • Output will be complete;
  • Output will be error-free;
  • Output will be unique;
  • all relevant connected information will always be available;
  • AI features will always operate without interruption; or
  • automated actions will always produce the intended result.

You are responsible for evaluating whether Output and AI functionality are appropriate for your intended use.

18. Your Responsibility

You remain responsible for decisions, actions, communications, and workflows performed using Brightney.

Brightney's AI functionality does not replace your responsibility for:

  • reviewing important information;
  • verifying material facts;
  • maintaining accurate business information;
  • configuring permissions correctly;
  • complying with applicable laws;
  • complying with your organization's policies;
  • obtaining necessary permissions; and
  • determining whether AI use is appropriate in a particular situation.

19. Changes to These AI Terms

We may update these AI Terms as Brightney's AI functionality, technology, legal requirements, and industry standards evolve.

When we make material changes, we may provide notice through the Services, our website, email, or another reasonable method.

The date at the top of these AI Terms indicates when they were most recently updated.

Your continued use of Brightney's AI functionality after updated AI Terms become effective constitutes acceptance of the updated AI Terms, except where applicable law requires otherwise.

20. Relationship With Other Brightney Terms

These AI Terms form part of the legal terms governing your use of Brightney.

Your use of Brightney is also subject to:

  • the Brightney Terms of Service;
  • the Brightney Privacy Policy;
  • any applicable order form;
  • any applicable enterprise agreement; and
  • any other agreement entered into between you or your organization and Brightney.

If an enterprise agreement or other separately executed agreement specifically addresses a matter covered by these AI Terms and conflicts with these AI Terms, the separately executed agreement will control to the extent of that conflict.
